1. Introduction

Welcome to Yield Sniper ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, and applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

Yield Sniper is an institutional infrastructure platform that provides autonomous risk monitoring and compliance infrastructure for on-chain capital allocation. We provide:

• Autonomous AI Risk Agents that monitor 18,000+ DeFi protocols 24/7
• Automated Level-1 investigative audits of smart contracts and governance
• Multi-tenant dashboard infrastructure with role-based access control (RBAC)
• Regulatory-ready reporting (position reconciliation, P&L attribution, audit trails)
• White-label deployment options for client-facing portals (Enterprise tier)
• Protocol discovery with risk scoring and compliance categorization

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Service under applicable laws
• Your use of the Service complies with all applicable laws and regulations

4. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. Service Tiers and Access Model

5.1 Capacity and Waiting List

We are currently at maximum capacity. We operate on a waiting list model to ensure white-glove onboarding and dedicated support for each organization. Quality over scale. By joining the waiting list, you agree to:

• Be notified when we open access to new organizations
• Receive information about our infrastructure capabilities
• No payment is required to join the waiting list
• Your email will only be used for updates - we never share or sell your information
• You can unsubscribe from waiting list emails with one click at any time

5.2 Three-Tier Business Model

Yield Sniper operates a multi-tenant SaaS infrastructure with three deployment models:

• Tier 1: Traditional Investor - Automated daily reports with risk scoring, delivered via email and Telegram. Access to 18,000+ vetted protocols with ML-powered APY predictions. (Waitlist Only)
• Tier 2: Asset Managers - Multi-tenant dashboard with role-based access control, client segregation for LP reporting, automated position reconciliation, and full audit logging for compliance. Designed for Hedge Funds and Family Offices. (Contact Sales Only)
• Tier 3: Enterprise - White-label API integration, custom risk models and scoring logic, dedicated infrastructure deployment, 99.99% uptime SLA with on-call support, and SOC 2 compliance documentation. (Contact Sales Only)
• All payments are processed securely by Stripe (we never see your card details)
• Pricing is provided upon qualification and varies by tier and AUM requirements

5.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting sales@ysniper.com for Enterprise accounts. Cancellation will take effect at the end of the current billing period. No refunds will be provided for partial subscription periods. You can unsubscribe from waiting list emails with one click at any time.

5.4 Price Changes

We reserve the right to change subscription prices with 30 days' notice for Traditional Investor and Asset Manager tiers. Enterprise pricing is governed by individual service agreements. Continued use of the Service after price changes constitutes acceptance of the new prices.

We make no guarantees, representations, or warranties regarding:

• The accuracy, completeness, or timeliness of information
• The performance or returns of any DeFi protocol
• The availability or reliability of the Service
• The security of any DeFi protocol or smart contract

6.3 DeFi Risks

DeFi protocols involve significant risks, including but not limited to:

• Smart contract vulnerabilities and exploits
• Impermanent loss in liquidity pools
• Market volatility and price fluctuations
• Regulatory uncertainty and legal risks
• Loss of access to funds or private keys
• Rug pulls and fraudulent projects

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YIELD SNIPER AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Losses resulting from DeFi protocol interactions
• Losses due to smart contract vulnerabilities
• Losses from reliance on information provided through the Service

Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

8. User Conduct

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service or servers
• Scrape, crawl, or use automated tools without permission
• Transmit viruses, malware, or harmful code
• Impersonate others or provide false information
• Resell or redistribute the Service without authorization

9. Intellectual Property

All content, features, and functionality of the Service are owned by Yield Sniper and are protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works
• Reverse engineer or decompile the Service
• Remove copyright or proprietary notices
• Use our trademarks without permission

10. Third-Party Links and Services

The Service contains links to third-party DeFi protocols and websites. We do not endorse, control, or assume responsibility for any third-party content or services. Your interactions with third-party protocols are solely between you and the third party.

You acknowledge that using third-party DeFi protocols is at your own risk.

11. Indemnification

You agree to indemnify, defend, and hold harmless Yield Sniper and its affiliates from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your interactions with DeFi protocols

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service will immediately cease
• You will no longer have access to your account
• No refunds will be provided for unused subscription periods

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Yield Sniper operates, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
